Contract Management

We're looking to add verbiage to our NDA, specifically the review of contracts by a third party, in this case Venminder. The NDA states that the agreement and all subsequent agreements are to remain between the the primary and secondary party.   That is no longer true as Venminder will be reviewing each contract that is loaded into the platform.  We are then violating our own NDA having the Venminder team review the agreements.

 Has anyone updated their NDAs to reflect the change in process?   If so, can you share the verbiage?

Often NDAs and other agreements define the covered representatives similar to this: "directors, officers, employees, agents, attorneys, auditors, and accountants"

Consider this type of change to your NDA/Confidentiality, if it is not already present.

We are working with counsel to begin developing our own NDA similar to what you describe and happy to share any language from it once its established.  However, currently we have legal review any NDA's we're asked to sign from a vendor, and Venminder will also get an NDA from the vendor to sign if needed in those cases.
